Terms of Service
Legal Entity: Quantasoft Ltd (DBA Payquanta) | Jurisdiction: England & Wales
By accessing the Payquanta platform or utilizing our white-label orchestration services, you ("the Partner") agree to be bound by these Terms of Service. If you do not agree to these terms, you must cease all use of our infrastructure immediately.
1. Scope of Service
Payquanta provides a proprietary cloud-based payment orchestration hub designed for institutional white-labeling. We grant the Partner a non-exclusive, non-transferable right to access the platform solely for lawful business operations.
2. Partner Responsibilities
- Compliance: Partners must ensure all their sub-merchants comply with local AML/KYC laws and PCI-DSS standards.
- Security: The Partner is solely responsible for maintaining the confidentiality of their API credentials and administrative accounts.
- Prohibited Use: Use of the service for high-risk activities not explicitly approved by Quantasoft Ltd (e.g., restricted gambling, unlicensed pharmaceutical sales) is strictly prohibited.
3. Fees and Payment Terms
Services are provided according to the subscription tier selected (Starter, Growth, or Enterprise). Fees are billed monthly in advance and are non-refundable. Quantasoft Ltd reserves the right to suspend access if any invoice remains unpaid for more than 14 days.
4. Limitation of Liability
To the maximum extent permitted by law, Quantasoft Ltd shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or revenue. Our total aggregate liability is capped at the total fees paid by the Partner in the twelve (12) months preceding the claim.
5. Term and Termination
This agreement remains in effect for the duration of the Partner's active subscription. Either party may terminate the agreement with 30 days' written notice. Quantasoft Ltd may terminate service immediately for material breach of security or non-payment.
6. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London.
